The terms described below will define the agreement (the "Agreement") between

_______________________ (“Producer”) and HD Television, Inc. ("HD Television"),. Producer and HD Television agree as follows:

HDTV agrees to rent the equipment listed in detail in Schedule A, attached, and in short form below (the “Equipment”) to Producer, for an amount of
$ __________________ To reserve the equipment, HDTV must receive a signed rental agreement, insurance certificate and a rental deposit of
$ _________. The balance of the full amount, plus an equipment damage deposit of $__________ (equal to the deductible of the insurance) will need to be paid in advance by wire transfer or certified check, or at the very latest at the time of delivery of the rental equipment, by certified check. This rental is for the following periods:

Producer agrees to completely reimburse HD Television for the cost of any repairs (including charges of shipping, labor and parts) which are necessitated by any damage to the Equipment occurring during the Rental Period (other than damage which, in the sole judgement of HD Television, is due to ordinary usage). Additionally, if any or all of the Equipment is damaged beyond repair, or is lost or stolen during the Rental Period, Producer agrees to reimburse HD Television for the full cost of replacing such Equipment. Also, Producer agrees to be responsible for rental costs of the Equipment until such time as the Equipment is replaced or repaired.

Insurance certificate and Damage Deposit needed in advance of the rental: Producer will maintain workers' compensation, fire, theft, and comprehensive general personal and property liability insurance (under which HD Television, Inc. is named as an additional insured and loss payee) in a form and in reasonable amounts satisfactory to HD Television. Such insurance will cover the property of HD Television for the amount of $__________, with the Damage Deposit equal to the deductible on the insurance policy.

In the event that the equipment provided by HD Television fails to operate properly and that this equipment failure causes a delay in production then HD Television may at its option:

(a) replace said equipment with the same model camera and substantially the same accessories

(b) not charge rental for the period of time the equipment is not operating

(c) extend the term of this Agreement by the amount of time equal to the time lost due to the delays at no additional cost to the Producer; or

Should the equipment from a previous shoot not be returned in time for this project, or other circumstances occur, HDTV reserves the right to substitute a replacement Sony HDW-F900 camera and substantially the same accessories, for no additional cost to Producer, until the originally scheduled HDTV equipment can be delivered.

The Producer's production insurance should cover all other costs associated with equipment problems.

The terms and conditions set forth above comprise the entire agreement between HD Television and Producer. No amendment, waiver, variation, or modification may be made to this Agreement unless set forth in a written document signed by both HD Television and Producer.

In order to confirm the equipment rental a deposit of $ ___________ must be received. This Agreement can be terminated by Producer without penalty through written notice received by HD Television on or before 5:00 pm. on _____________. If termination occurs after that date, HD Television reserves the right to assess the Producer a single cancellation fee of $___________.
